  • 01 February 2005. OUR IZMIR OFFICE LAUNCHED. Due to the continueing and heavy work load on our lawyers and encouraging demand received from our local clients in the city of Izmir Turkey, our office management decided to establish a new business in the heart of city of Izmir. After making necssary errangements, responsible staff of our Firm revealed their highly sophisticate echievement to catch the target date for opening our Izmir Office in Yenisehir Business District, close to the new court house by the beginning of February 1, 2005. Aynur Konacoglu, an experienced banking Attorney, located in Izmir, had been assigned to manage and carry out all responsibilities for our first office established out of Istanbulizmir@gunerlaw.gen.tr is designated E-mail address for our Izmir office.

  • 27-30 March, 2005. UNTAC GUNER FOUNDER OF FIRM PERFORMED AS A JUDGED IN PHILLIP C. JESSUP INTERNATIONAL LAW MOOT COURT COMPETITION IN WASHINGTON D.C.Phillip C. Jessup Moot Court competition international rounds, a voluntary initiative of international lawyers from all arround the World in respect of providing continueing suport to the young lawyers interested in practicing in International law, were organized by International Law Students' Association ("ASIL" ) in Washington D.C. and Untac Guner founder of our Firm was one of international Judges in the Competition.   • 30th March-2 April, 2005. OUR FIRM REPRESENTED IN THE ANNUAL MEETING OF THE AMERICAN SOCIETY OF INTERNATIONAL LAW ("ASIL").
    The 99th Annual Meeting of the Organization was held in Washington D.C., U.S and our Firm was represented in the meetings by Untac Guner, Attorney at Law founder of our firm.


  • OUR NEW COMPUTER SYSTEMS AND ELECTRICAL EQUIPMENTS. Our System Administrator Nasuh Metin claims that with the new computer systems of our firm invested at the beginning of this year for each offices, Guner Law Offices became the most secure and powerfull law firm with regard to its computer and electronic equipment in the legal market in Middle East Balkans and even in the European Community.

    Legal consulting and litigation services for various local and international companies and groups in different areas, besides official agencies; structuring new legal products and legal services, in both consultancy and litigation; establishing and pursuing collection procedures for local and international receivables. Filing and follow-up business related law suits including commercial, administrative, as well as labor and criminal law issues, at all levels of courts and arbitral tribunes. Conducting land development legal projects together with the other foreign groups; presenting legal opinions for legal and regulatory conflicts related with land and real estate commercial, administrative, labor and criminal issues; concluding continuing cases. Prepared legal opinions in respect of preparation and execution of the Islamic banking transactions and Islamic cross border financings through out the country and abroad advised and tracked out Islamic commercial transactions, banking and finance deals such as: Livestock on basis of Mudaraba: (Funds for productive activity on basis of sharing profit / loss), Murabaha: (Purchase of goods and their sale at a declared profit.), Bai-Salam: (Advance payment forward buying with 100% cash in advance), Trading, Machinery etc on basis of Mudaraba, Murabeha Mix: (Funds for productive activity on basis of sharing profit / loss collected from investors then Purchasing goods and selling them to clients at a declared profit.),Advising on electronic banking and account opening issues, participate in drafting and revising international documentation and manage negotiations with customers on cash and non-cash products and associated documentation.  Coordinate with counterparts for Central and Eastern Europe, North Africa, Middle East and Caucasus Countries  in support of international legal management of products and services of the cliental businesses. Address Turkish and US or Turkish or EU regulatory and business policy issues relating to products and services of the clients; supporting infrastructures. Counseling and advising personnel of the business regarding the availability, protection and defense of rights of the businesses, including conducting and analyzing searches and rendering legal opinions; developing and filing legal strategies for international finance, trade and banking law as well as private banking issues and global consumer banking matters, asset base finance, corporate finance, international & local trade and banking transactions, filings; prosecuting Turkey and foreign legal and tax  applications; resolving legal conflicts through negotiation, drafting settlement agreements and managing legal oppositions and litigation with outside counsels; drafting legal license agreements; counseling and advise staff and clients regarding all aspects of legal concerns and legal issues. Legal counseling for various security law-related businesses in the Global Markets. Coverage (with other lawyers in group) includes high yield and emerging market bonds, investment grade bonds, commercial paper, private placements for fixed income and equity securities. Advise in all aspects of capital markets and money market transactions and businesses with emphasis on upfront structuring, proposals and mandates, as well as significant legal and policy issues throughout transactions. Creating processes for new business/products and or services. Being responsible for provisions of legal services to a variety of corporate finance businesses based in the country and CEEMEA, including loan products (cross border), loan sales and trading, asset finance, asset based finance, acquisition finance, capital structuring; providing legal liaison to non-resident customers/industry groups; Providing legal support to all businesses, units, affiliates and subs of the cliental businesses that comprise the divisions covering CEEMEA. Assist in the development, coaching and training of local legal counsels. Addressing Turkish law and regulatory and policy issues relating to operating businesses and subsidiary Banks, as well as non-bank financial services companies.  Reviewing product programs assist in structuring a variety of credit and finance transactions and providing general legal advice. Providing legal support and advice for a variety of product offerings Bankcards. Interacting closely with Bankcards managers and counsels, on operational matters arising from operations centers Turkey and abroad. Responding to occasional consumer requests and disputes as well as consumer affairs regulatory and state agencies. Accompanying development and implementation of products on a regional basis; coordinate intra country and regional use of documentation in Turkey and CEEMEA with regard to local laws and regulations and local franchise risks; meeting and coordinating on products with counterparts for CEEMEA and in support of global management of products; advising on electronic banking and account opening issues; participating in drafting and revising international documentation for specific projects such as project finance, Banking Service Level Agreements, Global Account Opening Documentation, venture capital, syndications, structured finance documents; participating in and coordinating with head offices of the clients on payment systems risk issues involving CEEMEA; accompanying local negotiations in CEEMEA relating to use of products and associated documentation (Manuel Initiated Fund Transfer policies, World link, Pay link, BASLA, Global Account Opening Documentation, custody and securities services). Providing legal advice to operations, sales and compliance groups within the brokerage firms; this involves research into federal U.S., EU and Turkish State securities laws, self regulatory rules, and Retail Brokerage systems and supervision and securities industry standards. Advising on regulatory and other complaints, which might lead to litigation and either, handle arbitrations or manage arbitration counsel. Legal counseling for various banking, finance, and trade and securities law related businesses in the Global Markets, with expected focus on structured offerings, investment grade bonds, commercial paper programs and Mergers & Acquisitions and equity investments. Providing legal support to Global Project Finance and Global Structured Trade Finance businesses, with emphasis on upfront structuring, review of proposal and mandate letters and identification and resolution of significant legal and policy issues. Coordinating, hiring and managing of external counsels in different jurisdictions; Interfacing with internal counsels, as necessary, in other countries and in tax, regulatory and other areas to address and resolve issues
